Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 7, 2020, the Compensation Committee of the Board of Directors ProPhase Labs, Inc. (the “Company”) approved a discretionary cash bonus payment to Monica Brady, the Company’s Chief Financial Officer, in the amount of $60,000, in recognition of her contributions to the Company for fiscal year 2020.
