ProPhase Labs, Inc. (the “Company”) is unable to timely file with the Securities and Exchange Commission its Annual Report on Form 10-K for the year ended December 31, 2023 (the “Form 10-K”) without unreasonable effort or expense. As a first time accelerated filer, the Company is now subject to Section 404(b) of the Sarbanes-Oxley Act of 2002 and requires additional time to complete the assessment of the Company’s internal controls over financial reporting as of December 31, 2023.

The Company expects to file the Form 10-K, including its audited financial statements for the year ended December 31, 2023, no later than within the 15-day extension period provided by Rule 12b-25.
